Please read these terms carefully as they govern your use of Scheduler's scheduling software service, including our payment terms and cancellation policy.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of the Scheduler scheduling software service ("Service") provided by We UC Ltd, a company incorporated in England and Wales ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

Scheduler provides a cloud-based scheduling software service that enables users to:

  • Manage and optimize appointment scheduling for field agents
  • Calculate drive times and optimize routes
  • Integrate with Customer Relationship Management (CRM) systems
  • Automate booking processes and customer communications
  • Access analytics and reporting features

3. Account Registration and Security

3.1 Account Creation

To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

  • You must use a strong, unique password for your account
  • You must notify us immediately of any unauthorized use of your account
  • You are responsible for all activities that occur under your account
  • We reserve the right to suspend accounts that we believe have been compromised

4. Free Trial and Payment Terms

4.1 Free Trial Period

We offer a 7-day free trial for new users. During this period, you can access all features of your selected plan without charge. No payment information is required to start your trial.

4.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge the agreed amount according to your subscription plan.

4.3 Billing and Charges

  • After your 7-day trial expires, you will be charged the agreed price for your selected plan
  • Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan
  • All prices are quoted in British Pounds (GBP) and include applicable VAT
  • Payment is due immediately upon the end of your trial period and then according to your billing cycle
  • Failed payments may result in immediate suspension of your account

4.4 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days' written notice of any price increases. Price changes will not affect your current billing period but will apply to subsequent billing periods.

5. Cancellation and Refund Policy

5.1 Cancellation Rights

You may cancel your subscription at any time by accessing your account settings or contacting our support team. Cancellation will take effect at the end of your current billing period.

5.2 No Refund Policy

All payments are final and non-refundable. We do not provide refunds for any reason, including but not limited to:

  • Unused portions of your subscription period
  • Dissatisfaction with the Service
  • Inability to use the Service due to technical issues on your end
  • Changes to features or functionality
  • Early cancellation of your subscription

5.3 Service Access After Payment

Once you have paid for a subscription period, you will retain access to the Service for the entire paid period, even if you cancel your subscription. For example:

  • If you pay for an annual subscription and cancel after one day, you will continue to have access for the remaining 364 days
  • If you pay for a monthly subscription and cancel after one week, you will continue to have access for the remaining three weeks
  • Your account will be downgraded or suspended only after your paid period expires

5.4 Account Suspension

After your subscription expires, your account may be suspended, and your data may become inaccessible. We recommend exporting any important data before your subscription expires.

6. Data and Privacy

Your use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

6.1 Your Data

  • You retain ownership of all data you upload to our Service
  • You grant us a limited license to use your data solely to provide the Service
  • You are responsible for ensuring you have the right to use and share any data you upload
  • You must comply with all applicable data protection laws, including UK GDPR

7. Acceptable Use

You agree not to use our Service for any purpose that is:

  • Unlawful, harmful, threatening, abusive, or otherwise objectionable
  • Fraudulent, deceptive, or misleading

9. Service Availability and Support

While we strive to maintain high availability, we do not guarantee that our Service will be available 100% of the time. We may experience downtime for maintenance, updates, or due to factors beyond our control.

We provide customer support through email and our online help center. Response times may vary depending on the nature and complexity of your inquiry.

10. Disclaimers and Limitation of Liability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of our Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to any affiliate or successor entity.
